1. Agreement; Scope

These Terms and Conditions (the "Terms" or "Agreement") govern your access to and use of the websites, online portal, software, data retrieval tools, reports, subscriptions, documentation, and related services offered by Compass Point Technologies, Inc. d/b/a PropertyScout.io ("PropertyScout.io," "Company," "we," "us," or "our").

By accessing or using the Services, creating an account, clicking a button or checking a box indicating acceptance, purchasing a subscription, or otherwise using the online portal, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

These Terms apply to all users, including individual users, business users, account administrators, employees, agents, contractors, representatives, and any person or entity using the Services through your account.

2. Definitions

  • "Account" means a registered user account for accessing the Services.
  • "Company Materials" means documentation, data, reports, software, text, graphics, user interfaces, workflows, reports, compilations, and other materials made available by PropertyScout.io.
  • "Services" means the PropertyScout.io website, online portal, subscriptions, data retrieval tools, reports, software, content, support, and related services.
  • "User," "you," or "your" means the person or entity accessing or using the Services. If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.
  • "Your Content" means information, files, data, search inputs, notes, or other materials that you submit, upload, transmit, or otherwise provide through the Services.

3. Eligibility; Authority; Account Registration

You must be at least eighteen (18) years old and legally capable of entering into this Agreement to use the Services. By using the Services, you represent and warrant that you meet these requirements.

If you use the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity and that the entity is responsible for your use of the Services.

You agree to provide accurate, complete, and current account, billing, and contact information and to promptly update that information as necessary. Providing false, misleading, inaccurate, or unauthorized information is grounds for suspension or termination.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You may not share login credentials except as expressly authorized by PropertyScout.io in writing. You must notify us promptly at support@propertyscout.io if you believe your Account or payment method has been compromised.

4. Electronic Assent; Records; Version Control

You agree that your electronic acceptance of these Terms, including by checkbox, button click, account creation, purchase flow, or continued use of the Services, has the same legal effect as a handwritten signature.

You consent to the creation and retention of electronic records related to your Account, purchases, subscription, billing, cancellation, support communications, acceptance of these Terms, and use of the Services.

PropertyScout.io may retain records showing the version of the Terms you accepted, the date and time of acceptance, Account identifiers, IP address, device/browser information, checkout disclosures, plan selected, payment status, usage logs, cancellation records, and related transaction data for legitimate business purposes, including fraud prevention, dispute response, compliance, and enforcement of these Terms.

5. License to Use the Services

Subject to these Terms and your payment of applicable fees, PropertyScout.io grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes or, where applicable, your own personal use.

You may not resell, sublicense, distribute, commercialize, scrape, copy, reproduce, or otherwise exploit the Services or Company Materials except as expressly permitted in writing by PropertyScout.io.

This license terminates automatically when your Account or subscription terminates or when PropertyScout.io revokes access under these Terms.

6. Intellectual Property

The Services, Company Materials, software, workflows, designs, interfaces, databases, compilations, reports, documentation, trademarks, service marks, trade names, logos, and all related intellectual property are owned by PropertyScout.io or its licensors.

Except for the limited license expressly granted in these Terms, no rights are transferred to you. You agree not to copy, modify, reverse engineer, decompile, disassemble, create derivative works from, distribute, sell, lease, lend, rent, or otherwise exploit any portion of the Services or Company Materials.

You grant PropertyScout.io a non-exclusive, worldwide, royalty-free license to host, store, process, copy, display, transmit, and use Your Content as reasonably necessary to provide, secure, maintain, improve, and support the Services and to comply with legal obligations.

7. Acceptable Use; Prohibited Conduct

You agree not to use the Services for any unlawful, fraudulent, abusive, harmful, or prohibited purpose. Without limitation, you may not:

  • Use the Services to harass, abuse, threaten, defame, discriminate against, or violate the legal rights of any person or entity.
  • Upload or transmit viruses, malware, harmful code, or other materials that may damage, interfere with, or compromise the Services or any third-party system.
  • Attempt to gain unauthorized access to the Services, other accounts, systems, networks, data, or security controls; bypass authentication; circumvent technical restrictions; or interfere with the availability or integrity of the Services.
  • Use automated queries, scraping, crawling, bots, spiders, data mining tools, screen scraping, database scraping, bulk extraction, or similar methods unless expressly authorized by PropertyScout.io in writing.
  • Act as an unauthorized reseller, licensor, broker, distributor, service bureau, data broker, or outsourcing provider for the Services or any portion of the Services.
  • Use the Services to create, replace, supplement, enhance, or market any title, legal, vesting, ownership, encumbrance, underwriting, credit, tenant screening, employment, insurance, or eligibility report except to the extent expressly permitted by law and authorized in writing by PropertyScout.io.

PropertyScout.io may investigate suspected violations and may suspend or terminate access, restrict functionality, remove content, preserve evidence, notify law enforcement or affected third parties, and take other actions it reasonably determines are necessary or appropriate.

8. FCRA Disclaimer and Restricted Uses

PropertyScout.io is not a consumer reporting agency under the Fair Credit Reporting Act, 15 U.S.C. Sec. 1681 et seq. ("FCRA"), and the Services are not consumer reports.

The information made available through the Services is provided for informational purposes only and has not been collected in whole or in part for the purpose of furnishing consumer reports as defined by the FCRA.

You agree not to use any information obtained through the Services, in whole or in part, as a factor in establishing or determining a person’s eligibility for credit, loans, insurance, employment, promotion, reassignment, retention, education, scholarships, government benefits, housing, apartment rental, tenant screening, check cashing, deposit accounts, transaction accounts, or any other purpose for which a consumer report may be used under the FCRA or similar law.

You agree not to use information obtained through the Services to take any adverse action as that term is defined under the FCRA. You represent that you have appropriate knowledge of the FCRA and similar laws and will consult legal counsel as needed before using information obtained through the Services.

9. Third-Party Services, Links, Data Sources, and Payment Processor

The Services may include, rely on, link to, or integrate with third-party websites, data sources, vendors, processors, hosting providers, analytics tools, communications tools, payment processors, and other services. PropertyScout.io is not responsible for third-party services except to the extent required by applicable law.

PropertyScout.io does not collect, store, or process full credit card numbers directly and does not accept credit card information by telephone. Payments are processed through a third-party payment processor. Your use of a payment method may also be subject to the processor’s terms, privacy policy, security practices, and card-network rules.

PropertyScout.io may receive limited payment and risk information from its payment processor, including transaction IDs, card brand, last four digits, fraud signals, payment status, dispute information, chargeback information, and similar metadata for account administration, fraud prevention, accounting, compliance, and dispute response.

10. Subscriptions, Purchases, and Recurring Billing Authorization

By selecting a subscription plan or purchasing Services through the website or online portal, you authorize PropertyScout.io and its third-party payment processor to charge your selected payment method for the amounts disclosed at checkout, including initial subscription fees, recurring subscription fees, applicable taxes, and other charges you authorize.

Unless otherwise stated at checkout, subscriptions automatically renew at the then-current plan price and billing interval until canceled in accordance with these Terms. By clicking the purchase, subscribe, start, confirm, or similar button, you expressly authorize recurring charges to your selected payment method.

You represent and warrant that all payment information you provide is accurate, complete, current, and authorized; that you are the cardholder or have full authorization from the cardholder to use the payment method; and that you are authorized to incur charges on behalf of any entity you represent.

All transactions are processed as online card-not-present transactions through a third-party processor. You acknowledge that card-not-present processing is standard for online self-service transactions.

Current plan names, pricing, renewal intervals, and included features may be displayed on the website, checkout page, or online portal. If plan pricing or features differ between these Terms and the checkout page, the checkout disclosures presented at the time of purchase control for that transaction.

PropertyScout.io may correct pricing, typographical, or technical errors and may refuse or cancel orders or accounts that appear to be fraudulent, unauthorized, mistaken, abusive, or otherwise inconsistent with these Terms.

11. Digital Access; Refund Policy

The Services provide immediate access to online tools, data retrieval functionality, search capability, reports, and/or other digital resources. Because access is provided immediately after purchase, all fees are final and non-refundable except where required by applicable law, where expressly stated in writing by PropertyScout.io, or where PropertyScout.io determines in its discretion that a billing error occurred.

All reports are offered and provided "as-is" and are considered "final and non-refundable purchases."

We will provide refunds for one-time purchases when the data is grossly inaccurate. Examples of grossly inaccurate data include:

  • 50% or more fields in the report are missing, or
  • Information outdated by over one year, or
  • No information can be found regarding the property.

To request a refund, submit a support ticket to support@propertyscout.io and provide the following information:

  • Your email associated with the account
  • The property address, city and state, and
  • The error(s) associated with the data provided.

Cancellation stops future renewal charges but does not entitle you to a refund, credit, or prorated refund for the then-current billing period unless required by law or expressly approved in writing by PropertyScout.io.

Data, reports, search results, and other outputs are provided "as is" and are not guaranteed to be complete, current, uninterrupted, error-free, or suitable for any particular purpose.

12. Billing Disputes; Chargebacks; Payment Reversals

If you believe a charge was made in error, you agree to contact PropertyScout.io at support@propertyscout.io promptly so that we may investigate and attempt to resolve the matter. Nothing in these Terms limits any non-waivable rights you may have under applicable law or applicable card-network rules.

If you initiate a chargeback, payment reversal, retrieval request, pre-arbitration, arbitration, or other payment dispute for a transaction that PropertyScout.io reasonably believes was authorized, valid, and not the result of Company error, you agree that PropertyScout.io may provide the payment processor, card network, issuing bank, acquiring bank, dispute-resolution provider, collection provider, and legal advisors with information relevant to the transaction and dispute.

Such information may include your name, email address, billing information, Account records, Terms acceptance records, checkout disclosures, plan selected, transaction IDs, IP address, device/browser information, login records, usage history, report access history, cancellation records, support communications, and other evidence showing authorization, access, delivery, use, cancellation status, or policy disclosures.

If a payment is reversed, charged back, declined, or otherwise not paid, you remain responsible for all undisputed amounts owed for Services provided, except to the extent the reversal resulted from Company error or as otherwise required by law. PropertyScout.io may suspend or terminate access pending resolution of payment disputes and may seek recovery of unpaid amounts, reasonable collection costs, and fees to the extent permitted by applicable law.

13. Fraud Prevention; Account Review; Security Controls

PropertyScout.io may use internal and third-party fraud detection and other security measures to protect the services, customers, payment systems, and data sources.

PropertyScout.io may delay, decline, cancel, restrict, suspend, or terminate transactions, subscriptions, reports, or Accounts that we reasonably believe may be fraudulent, unauthorized, abusive, unlawful, high-risk, or inconsistent with these Terms.

Examples of conduct that may trigger review include multiple failed payment attempts, mismatched billing information, suspicious IP/device patterns, disposable or misleading contact information, unusually high search or report activity, attempts to resell or scrape data, suspected card testing, use of stolen credentials, or inconsistent customer communications.

You agree to cooperate with reasonable verification requests. Failure to provide requested verification may result in suspension, cancellation, or termination.

14. Cancellation

You may cancel your subscription at any time by logging into your Account and using the "Unsubscribe," cancellation in your user profile, or by emailing support@propertyscout.io. PropertyScout.io does not accept cancellations by telephone.

To avoid renewal charges, cancellation must be completed before the next billing date. After cancellation, your Account may remain active until the end of the then-current paid subscription period unless otherwise stated.

You are responsible for ensuring that cancellation is completed. If you experience technical difficulty canceling through the online portal, you should promptly email support@propertyscout.io before the renewal date and retain a copy of your cancellation request.

15. Term, Suspension, and Termination

These Terms remain in effect while you access or use the Services. You may terminate your Account or subscription as provided in these Terms.

PropertyScout.io may suspend, restrict, or terminate your Account or access to the Services at any time if we reasonably believe you have violated these Terms, provided false or unauthorized information, failed to pay amounts owed, initiated or are associated with excessive payment disputes, created security or fraud risk, misused the Services, or acted in a manner that may harm PropertyScout.io, other users, data sources, payment systems, or third parties.

Upon termination, your right to access and use the Services ends immediately, except to the extent PropertyScout.io permits limited access for account closure or legal compliance. Provisions that by their nature should survive termination will survive, including intellectual property, payment obligations, dispute provisions, disclaimers, limitations of liability, indemnification, and records/evidence provisions.

16. Service Availability; Changes to Services

PropertyScout.io may modify, suspend, discontinue, update, limit, or replace any portion of the Services at any time. We do not guarantee that the Services will be available, uninterrupted, secure, timely, accurate, complete, or error-free.

The Services may be unavailable due to maintenance, updates, outages, third-party failures, data-source limitations, security incidents, force majeure events, or other circumstances. PropertyScout.io is not liable for interruptions, delays, loss of access, or loss of data except to the extent required by applicable law.

17. No Legal, Financial, Tax, Credit, Title, or Professional Advice

The Services are provided for informational purposes only. PropertyScout.io does not provide legal, financial, tax, credit, title, insurance, underwriting, real estate closing, or other professional advice.

No attorney-client, fiduciary, advisory, agency, partnership, joint venture, employment, escrow, title insurance, or similar relationship is created by your use of the Services.

You are solely responsible for evaluating the accuracy, completeness, legality, and suitability of information obtained through the Services and for consulting qualified legal, financial, tax, title, insurance, or other advisors before relying on any information for any transaction, decision, filing, notice, or legal purpose.

18. Title, Real Estate, and Data Disclaimers

The Services are not title insurance, a title commitment, preliminary title report, abstract, legal opinion, opinion of title, guarantee of ownership, guarantee of encumbrances, or representation as to the condition of title to real property.

The Services may not include all recorded conveyances, instruments, documents, liens, encumbrances, notices, claims, interests, restrictions, or other matters that may affect real property. Information may be incomplete, delayed, inaccurate, or unavailable due to data-source limitations, indexing issues, recording delays, user inputs, third-party errors, technical issues, or other causes.

You acknowledge that PropertyScout.io is not responsible for the proper performance of services necessary to the conduct of any real estate closing, title search, underwriting process, legal proceeding, due diligence process, or transaction.

19. Privacy; Data Security; Data Loss

Your use of the Services may be subject to PropertyScout.io’s Privacy Policy, if posted or otherwise provided. The Privacy Policy explains how certain information may be collected, used, shared, and retained.

You acknowledge that internet-based services involve inherent security risks. You are responsible for maintaining appropriate security controls for your Account, devices, credentials, networks, and use of exported information.

PropertyScout.io does not accept responsibility for unauthorized access, account compromise, data loss, or misuse caused by your failure to secure credentials, devices, networks, or user access, except to the extent required by applicable law.

20. No Warranties

THE SERVICES AND COMPANY MATERIALS ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPERTYSCOUT.IO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, RELIABILITY, SECURITY, AND COURSE OF DEALING OR USAGE OF TRADE.

PROPERTYSCOUT.IO DOES NOT WARRANT THAT THE SERVICES WILL BE COMPLETE, CURRENT, ACCURATE, ERROR-FREE, UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, OR THAT DEFECTS WILL BE CORRECTED.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPERTYSCOUT.IO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, VENDORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPERTYSCOUT.IO’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, ANY SUBSCRIPTION, ANY REPORT, ANY DATA, OR ANY TRANSACTION WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO PROPERTYSCOUT.IO FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, liability is limited to the maximum extent permitted by law.

22. Indemnification

You agree to defend, indemnify, and hold harmless PropertyScout.io and its officers, directors, employees, contractors, affiliates, licensors, vendors, and agents from and against any claims, demands, actions, losses, liabilities, damages, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use or misuse of the Services, Your Content, your breach of these Terms, your violation of law, your payment disputes or unauthorized transactions caused by your conduct, your use of information obtained through the Services, or your infringement or violation of any rights of another person or entity.

PropertyScout.io may select its own counsel and may participate in the defense of any matter subject to indemnification. You may not settle any indemnified claim without PropertyScout.io’s prior written consent if the settlement imposes obligations on PropertyScout.io or admits fault by PropertyScout.io.

23. Arbitration; Governing Law; Venue; Class and Jury Waiver

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

Before initiating formal proceedings, the parties agree to attempt to resolve disputes in good faith. If informal resolution fails, disputes will be resolved by binding arbitration in Pierce County, Washington, before a single arbitrator, except that PropertyScout.io may bring intellectual property, security, unauthorized access, nonpayment, collection, or injunctive relief claims in court where permitted by law.

The arbitrator may not add parties, vary the provisions of these Terms, award punitive damages except where required by law, or certify a class. Each party will bear its own attorneys’ fees and costs unless otherwise required by law or awarded under an applicable statute or contract provision.

To the extent permitted by law, you and PropertyScout.io waive the right to a jury trial and agree that disputes will be brought only on an individual basis, not as a class, collective, consolidated, representative, private attorney general, or similar action. Counsel should review this arbitration and class waiver provision for enforceability and any required consumer-law disclosures.

24. Modifications to These Terms

PropertyScout.io may modify these Terms from time to time. The updated Terms will be effective when posted, when presented for acceptance, or as otherwise stated in the updated Terms.

If we make material changes, we may provide notice through the Services, by email, at checkout, or by other reasonable means. Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms, except where affirmative consent is required by law.

25. Notices and Communications

You consent to receive electronic communications from PropertyScout.io, including account notices, billing notices, renewal notices, cancellation confirmations, support communications, dispute communications, legal notices, and service announcements.

Notices to PropertyScout.io should be sent to support@propertyscout.io unless another address is provided in writing. You are responsible for keeping your email address and contact information current.

26. General Provisions

Assignment. You may not assign or transfer these Terms or your Account without PropertyScout.io’s prior written consent. PropertyScout.io may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or by operation of law.

Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

No Waiver. Failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

Force Majeure. PropertyScout.io is not liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, labor disputes, internet or telecommunications failures, cyber incidents, civil unrest, governmental actions, war, terrorism, epidemics, pandemics, supplier failures, or third-party platform failures.

Headings. Headings are for convenience only and do not affect interpretation.

Entire Agreement. These Terms, together with any checkout disclosures, order forms, plan terms, policies, or additional terms incorporated by reference, constitute the entire agreement between you and PropertyScout.io regarding the Services and supersede prior or contemporaneous understandings on the same subject.
